1. About these terms

These terms are an agreement between you (the business or person using Crewo, "you" or "Customer") and Workivio Ltd, a company registered in England and Wales (company number 17225310), registered office 4th Floor, Silverstream House, 45 Fitzroy Street, Fitzrovia, London W1T 6EB, United Kingdom ("Workivio", "we", "us"). Crewo ("the Service") is a software platform we provide. By creating an account or using the Service, you agree to these terms. If you're agreeing on behalf of a business, you confirm you have authority to bind that business.

2. What Crewo is

Crewo is subscription software for staff scheduling. It helps you build and share rotas, estimate your wage bill and labour costs, manage holiday and shift requests, and export hours to your own accountant or payroll provider. Crewo is software only. We do not process payroll, pay wages, hold or move your or your employees' money, provide accounting, tax, legal or employment-law advice, or act as anyone's employer.

3. Wage and cost figures are estimates

Crewo's wage, National Insurance, pension, holiday and labour-cost figures are estimates to help you plan, based on the rates and information you enter. They are not payroll calculations, tax advice or a guarantee of compliance with employment law. You are responsible for paying your staff correctly and for your own PAYE, National Insurance, pension, holiday, minimum-wage and other legal obligations, and you should confirm figures with your accountant or payroll provider before relying on them. Tronc and tips figures in Crewo are estimates provided for planning; Crewo does not provide tax advice and final tax treatment must be confirmed with HMRC guidance or a professional adviser.

4. Your account

You must give accurate registration details and keep your login secure. You're responsible for activity under your account and for your team members' use of it. Crewo is for business use by people aged 18 or over. You must not share access with anyone outside your business.

5. Plans, pricing and billing

  • Plans. The Pro plan covers a single site. The Group plan covers up to three sites, with additional sites charged at the per-site rate shown on our pricing page, up to nine sites in total. The Chain plan, for ten or more sites, is priced individually. Current prices are shown at sign-up and on our pricing page.
  • Billing. Paid plans require a payment method and are billed immediately when you subscribe. There is no free trial; the free Starter plan is available with no card. You can cancel anytime from your billing page.
  • Auto-renewal. Paid subscriptions renew automatically each period (monthly or annually) until cancelled, and your payment method is charged at the start of each period.
  • Payments and VAT. Payments are processed by Stripe; by subscribing you also accept Stripe's terms. Prices are inclusive of VAT where applicable. Workivio Ltd is not currently VAT registered, so no VAT is charged today. If we become VAT registered in future, prices will remain unchanged and VAT will be extracted from the price at the prevailing rate.
  • Price changes. We may change prices; we'll give you reasonable notice before a change affects your renewal.

6. Cancelling, refunds and downgrades

You can cancel anytime through your billing settings. Cancellation stops future renewals; your subscription continues until the end of the current paid period, after which paid features are switched off. We don't give refunds for part-used periods unless required by law. If you downgrade, the change takes effect at your next renewal, and any limits of the lower plan then apply. We keep your data so you can return, subject to our Privacy Policy.

7. Acceptable use

You agree not to misuse the Service, including not breaking the law, infringing others' rights, uploading harmful code, attempting to breach security or access other customers' data, scraping the Service, reselling it without our agreement, or using it to send unlawful communications.

8. Your responsibilities and your data

  • You're responsible for the accuracy of the information you put into Crewo, including staff details and pay rates.
  • You are the data controller for the personal data you enter about your staff (such as names, contact details, dates of birth, National Insurance numbers, hours and pay). We act as your data processor for that data, processing it on your instructions. This is governed by our Privacy Policy and our Data Processing Agreement, which forms part of these terms.
  • You're responsible for telling your staff how their data is used and for having a lawful basis to provide it to us.
  • You must comply with all employment, data-protection, minimum-wage, working-time and other laws that apply to your business.

9. Our intellectual property

We and our licensors own all rights in the Service, including its software, design and content. We grant you a limited, non-exclusive, non-transferable right to use the Service while your subscription is active and you comply with these terms. You keep all rights in the data and content you put into Crewo.

10. Availability and "as is"

We work hard to keep Crewo available and may carry out maintenance from time to time. The Service is provided "as is" and "as available". To the extent the law allows, we don't guarantee it will be uninterrupted, error-free, or fit for a particular purpose, and we exclude all implied warranties.

11. Limitation of liability

Nothing in these terms limits liability that can't be limited by law (such as for death or personal injury caused by negligence, or fraud). Subject to that, and to the extent the law allows: we are not liable for loss of profits, revenue, data, goodwill, or for indirect or consequential loss; and our total liability to you in any 12-month period is limited to the amount you paid us for the Service in that period. Because Crewo provides estimates and not payroll or professional advice, we are not liable for decisions you make based on its figures , you remain responsible for paying staff correctly and meeting your legal obligations.

12. Indemnity

You agree to cover us against claims, losses and costs arising from your misuse of the Service, your breach of these terms, or your failure to meet your legal obligations to your staff or others.

13. Suspension and termination

We may suspend or end your access if you seriously or repeatedly breach these terms, fail to pay, or use the Service unlawfully. You can stop using the Service and close your account at any time. On termination, your right to use the Service ends; data handling on closure is covered in our Privacy Policy.

14. Changes

We may update these terms or the Service. If we make a significant change to these terms, we'll give you reasonable notice (for example by email or in-app). Continuing to use the Service after a change means you accept the updated terms.

15. General

These terms are the whole agreement between us about the Service. If any part is found unenforceable, the rest still applies. We may transfer our rights and obligations (for example as part of a sale of the business); you may not transfer yours without our agreement.

16. Governing law

These terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction, [confirm with solicitor].

Aggregated and anonymised insights

We may create aggregated and anonymised statistics from the use of Crewo, for example average pay rates by role, region or industry, typical labour cost percentages, and scheduling patterns. These statistics never identify you, your business, your sites or any member of your staff. They are only produced from data pooled across multiple businesses, and no statistic is ever derived from fewer than 5 businesses or fewer than 25 staff records. We may use, publish and commercialise these statistics, for example in industry reports and benchmarking features. Nothing in this section permits us to sell or share personal data. You can exclude your organisation from future statistics at any time in Settings, without affecting your service.
